IP Registration & Consultation
Trademark, copyright and patent registration, guided from first search to filing and renewal.
Keep your trademarks, copyrights and patents in a dedicated ownership structure, separate from the risks and day-to-day of your operating business.
As a business grows, its most valuable assets are often intangible: the brand, the software, the content, the inventions. When those assets sit in the same entity that signs customer contracts, hires staff and takes on debt, they are exposed to every operational risk.
An IP holding structure separates ownership from use. A dedicated holding entity or arrangement owns the IP and grants written licenses to the companies, partners or licensees that use it. Done well, it gives you a clean chain of title, simpler due diligence when you raise money or sell, and one place to manage every registration and deadline.
The right structure depends on your business, your jurisdiction and your tax position, so we work alongside your legal and tax advisors, not in place of them.
Keep core assets away from the liabilities of day-to-day operations.
Every assignment and license is documented, so ownership is easy to prove.
Investors, lenders and buyers ask who owns the IP. Have the answer ready.
One docket for renewals, maintenance fees and license terms.
The applicant for a trademark or copyright registration must be the true owner (or, for an intent-to-use trademark filing, the party with a bona fide intent to use). Moving IP into a holding entity later needs proper documentation. For example, a pending intent-to-use trademark application generally cannot be assigned before use is alleged, except to a successor to the ongoing business (15 U.S.C. § 1060(a)(1)). We coordinate the paperwork with your attorney so the record stays clean.
Ownership structures can have tax and regulatory consequences that vary by jurisdiction. TITLEWRIGHT coordinates the IP administration; your accountant and attorney should confirm the structure that suits you.

They are related. A holding company is an entity that owns assets. An IP holding entity is one set up specifically to own intellectual property and license it to others. Our services focus on the IP side: ownership records, assignments, licenses and administration.
Generally yes, through a written assignment that identifies the IP and the parties, recorded with the relevant office where appropriate. Pending intent-to-use trademark applications are restricted (see above), and trademarks need particular care so that the goodwill travels with the mark. Your attorney should confirm the right approach; we help organize the records.
If one entity owns the IP and another uses it, a written license documents the permission and, for trademarks, helps show that the owner controls quality, which is important for keeping the mark valid.
That depends entirely on your jurisdiction and circumstances, and it is a question for a qualified tax advisor. TITLEWRIGHT does not provide tax advice.
